Please read these Terms and Conditions ("Terms," "Terms and Conditions") carefully before using the Ozzy iOS application (the "Service") operated by the Ozzy development team ("us," "we," or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

Ozzy is a personal finance management application that provides users with insights into their spending habits. The Service connects to your financial institutions via the Teller API to retrieve transaction data and uses Google's Gemini AI to provide personalized financial "nudges" and analysis.

Disclaimer: The content and insights provided by Ozzy are for informational purposes only and should not be considered professional financial, investment, or legal advice. You are solely responsible for your financial decisions, and you should consult with a qualified professional before making any financial decisions.

To use the Service, you must create an account using your phone number, which will be verified through Firebase Authentication. You are responsible for safeguarding your account and for any activities or actions under your account. You agree not to disclose your verification codes to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Certain features of the Service are available only through a paid subscription ("Subscription").

*   Billing: Subscriptions are billed on a monthly or annual basis, as selected by you. All payments are processed through the Apple App Store, and you will be billed in advance on a recurring, periodic basis ("Billing Cycle").

*   Auto-Renewal: At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it.

*   Cancellation: You may cancel your Subscription renewal at any time through your Apple ID account settings. You will continue to have access to the Service through the end of your current Billing Cycle.

*   Free Trial: We may, at our sole discretion, offer a Subscription with a free trial for a limited period. If you do not cancel before the end of the trial period, you will be automatically charged the Subscription fee for the type of Subscription you have selected.

The Service integrates with and depends on third-party services to function. Your use of the Service is also governed by the terms and conditions of these third parties.

*   Teller: To connect your bank accounts, you will use the Teller service. You agree to Teller's terms of service and privacy policy. Ozzy is not responsible for the services provided by Teller.

*   Firebase (Google): We use Firebase for authentication and backend infrastructure.

*   Google (Gemini AI): We use Google's AI platform to generate financial insights.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party web sites or services.

As a condition of use, you agree not to use the Service for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Service. You shall not (and shall not permit any third party to):

*   Take any action that imposes or may impose an unreasonable or disproportionately large load on our (or our third-party providers') infrastructure.

*   Interfere or attempt to interfere with the proper working of the Service.

*   Attempt to decompile, reverse engineer, or otherwise attempt to obtain the source code of the Service.

*   Use the Service for any illegal or unauthorized purpose.

The Service and its original content (excluding content provided by users or third parties), features, and functionality are and will remain the exclusive property of the Ozzy development team and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that:

a) The Service will function uninterrupted, secure, or available at any particular time or location.

b) Any errors or defects will be corrected.

c) The results of using the Service will meet your requirements or be accurate or reliable.

In no event shall the Ozzy development team, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

You agree to defend, indemnify, and hold harmless the Ozzy development team and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you can simply discontinue using the Service and delete the application.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
